    Curated Therapy Collective ("CTC," "we," or "our") connects clients with independently practicing, licensed mental health professionals.

    CTC is not a therapy group, treatment provider, or medical entity, and does not provide therapy or medical services directly.

    By using our website, intake forms, or related services, you acknowledge and agree to these Terms of Use and this Privacy Policy.

    2. Scope of Services

    • CTC serves as a professional collective and matching service, not a clinical provider.
    • All clinicians within the Collective are independent practitioners responsible for their own practice, licensure, and clinical decisions.
    • Communication through CTC does not establish a clinician-client relationship.
    • CTC staff review client information solely for the purpose of facilitating appropriate introductions.

    3. User Responsibilities

    For Clients:

    • You agree to provide accurate information in your intake form to help ensure a clinically appropriate fit.
    • You understand that choosing to engage with a referred clinician is your decision.
    • You acknowledge that therapy, outcomes, and fees are handled directly between you and your clinician.

    For Clinicians:

    • You agree to maintain active licensure, professional insurance, and ethical compliance per NASW, APA, or ACA standards.
    • Membership in CTC does not constitute employment, supervision, or legal partnership with CTC.

    4. Privacy Policy & HIPAA Compliance

    CTC is committed to protecting your privacy and maintaining the confidentiality of your personal information in accordance with the Health Insurance Portability and Accountability Act (HIPAA) and other applicable privacy laws.

    Our HIPAA Commitment

    While CTC operates as a professional collective rather than a healthcare provider, we maintain HIPAA-compliant practices for handling any health-related information you share with us. All clinicians in our Collective are independently licensed professionals who maintain their own HIPAA compliance in their clinical practices.

    Information We Collect

    • Contact information (name, email, phone)
    • Basic demographic and preference details (e.g., goals, location, scheduling availability)
    • Any information voluntarily shared on intake or membership forms

    CTC does not collect or store:

    • Protected Health Information (PHI) including diagnostic details, therapy notes, or medical records
    • Sensitive financial information (beyond optional payment processing for referral fees)
    • Social Security numbers or government identification

    How We Use Your Information

    • To review client submissions and facilitate appropriate connections
    • To communicate updates, scheduling, or referral details
    • To improve our referral and membership experience
    • Information is never used for marketing without your explicit consent

    Data Security & Confidentiality

    • All data transmissions are encrypted using industry-standard SSL/TLS encryption
    • Intake and membership data are stored on secure, encrypted servers
    • Access is strictly limited to authorized CTC staff on a need-to-know basis
    • We do not sell, share, or rent personal information for marketing purposes
    • Regular security audits are conducted to ensure data protection

    Your Rights

    • Request access to your personal information
    • Request correction of inaccurate information
    • Request deletion of your data (subject to legal retention requirements)
    • Opt out of non-essential communications

    5. Fees and Payment Policy

    • CTC's connection service is complimentary for clients seeking therapy referrals.
    • Clinician members pay a membership fee to participate in the Collective, which supports clinician-led review and coordination.
    • Therapy or coaching fees are handled directly between clients and clinicians.
    • CTC is not involved in billing, insurance claims, or disputes between clients and clinicians.

    6. Disclaimers

    • CTC does not provide clinical care or therapy services.
    • Inclusion of any clinician in the Collective does not constitute endorsement or guarantee of outcomes.
    • CTC makes reasonable efforts to verify licensure and professional standing but does not supervise clinical care.
    • Use of CTC services is at your own discretion and risk.

    CTC is not a crisis service. If you are in crisis or need immediate help, please call or text 988 to reach the Suicide and Crisis Lifeline or contact local emergency services.

    7. Ethical and Professional Standards

    CTC and its members uphold the principles of the NASW Code of Ethics, APA Ethical Principles of Psychologists, and ACA Code of Ethics.

    We are committed to integrity, confidentiality, cultural competence, and client welfare in all aspects of care coordination and referral.

    Confidentiality Guarantee

    All communications with CTC are treated as confidential. Your information will never be disclosed to unauthorized parties without your explicit written consent, except as required by law (e.g., imminent risk of harm, court orders, or mandatory reporting requirements).

    8. Limitation of Liability

    CTC shall not be liable for any actions, decisions, or services provided by independent clinicians or for any harm, injury, or loss arising from their care.

    By using CTC's services, you release CTC and its affiliates from responsibility related to clinician actions or outcomes.

    9. Intellectual Property

    All website content, materials, and branding elements are the property of Curated Therapy Collective and may not be copied or redistributed without written permission.

    10. Policy Updates

    This policy may be updated periodically to reflect best practices, compliance standards, or service changes.

    Any updates will be posted on our website with the effective date indicated.

    11. Clinician Membership Agreement

    The following Membership Agreement applies to all clinicians who join Curated Therapy Collective.

    1. Purpose and Mission

    Curated Therapy Collective, LLC ("CTC") is a membership-based community of independently practicing, licensed mental health professionals committed to ethical practice, collaboration, and clinical excellence. Membership provides professional visibility, referral opportunities, and access to a supportive community of like-minded clinicians.

    CTC is not a group practice or employer and does not provide supervision, therapy, or clinical direction. Founded by a licensed clinician, CTC aims to elevate the quality and integrity of private practice through meaningful professional connection and collaboration.

    2. Nature of the Relationship

    CTC operates as a professional network, not a clinical entity. Clinicians remain independent practitioners responsible for their own clients, records, billing, licensure, and clinical decisions. Nothing in this Agreement shall be construed to create a partnership, joint venture, employment, or agency relationship between the parties. Each party acts as an independent contractor responsible for its own actions, taxes, and liabilities.

    Clinicians have sole discretion and control over the nature, scope, and manner of their professional services and must comply with all applicable laws and ethical standards (NASW, APA, ACA, or equivalent). CTC provides professional networking, marketing visibility, and access to peer resources but does not engage in clinical service delivery or billing on behalf of members.

    3. Membership Requirements

    By joining CTC, members agree to:

    • Maintain active professional licensure and professional liability insurance.
    • Abide by all ethical standards and applicable laws.
    • Keep their CTC profile current and accurate.
    • Engage respectfully and professionally with CTC staff and fellow CTC clinician members.

    Members must notify CTC of any changes to licensure, insurance, or contact information within 30 days. CTC reserves the right to verify licensure status and remove members whose credentials lapse or whose conduct violates ethical or community standards.

    Onboarding Documentation:

    Upon payment, members must complete an onboarding application and submit all required documents to verify credentials and activate membership.

    4. Referrals and Visibility

    CTC facilitates clinician-curated referrals based on client needs, specialty, and availability. Inclusion in CTC does not guarantee referrals or client volume. CTC's role is to facilitate ethical, meaningful connections, not to assign clients. Referrals may occur through both the client-facing directory and CTC's clinician-matched concierge process.

    Clinicians are expected to respond to referral inquiries within 2 business days.

    5. Confidentiality and Privacy

    All client information received through CTC referrals must be treated as confidential under HIPAA and applicable professional standards. Clinicians agree not to share or disclose referral details to unauthorized individuals and must ensure that all communications occur through secure, compliant platforms. CTC maintains secure systems for managing referral and member data but does not assume responsibility for clinicians' independent data management or record-keeping.

    6. Ethical Alignment

    Members agree to uphold:

    • Clinical integrity, practicing within their scope of competence.
    • Informed consent and transparency with all clients.
    • Cultural sensitivity and inclusivity.
    • Professional boundaries and avoidance of conflicts of interest.
    • A spirit of collaboration and mutual support within the professional community.

    7. Membership Fees and Billing

    All memberships require a minimum 12-month commitment. Membership fees are billed monthly or annually based on the selected tier and at the agreed-upon rate outlined during onboarding. All memberships are non-refundable.

    Members authorize CTC to process recurring payments through its secure billing system unless canceled in accordance with Section 8. Members may cancel membership by providing 30 days' written notice via email to hello@curatedtherapycollective.com after completing the 12-month minimum term. Failure to pay membership dues within 30 days may result in termination.

    7.1 Membership Rates and Adjustments

    Rates are determined by membership tier established at enrollment. CTC reserves the right to adjust rates with 30 days' notice. Rate adjustments will not affect prepaid annual memberships until renewal. Membership tiers and benefits are described in Exhibit A or on the CTC website.

    7.2 Ethical Clarification

    Membership fees cover network access, visibility, and community benefits. Fees are not payments for referrals or shared clinical revenue. This ensures compliance with ethical standards and laws prohibiting fee-splitting.

    8. Cancellation and Termination

    12-Month Minimum Commitment: All memberships require a minimum 12-month commitment from the date of enrollment. Early termination during the initial 12-month period is not permitted except as outlined below.

    CTC may suspend or terminate membership if a clinician:

    • Violates this Membership Agreement or applicable ethical standards.
    • Fails to maintain active licensure or professional liability insurance.
    • Engages in conduct that undermines the integrity or reputation of the Collective.

    After completing the 12-month minimum term, clinicians may cancel membership with 30 days' written notice to hello@curatedtherapycollective.com. Upon termination, all access to member resources, directories, and visibility will end.

    8.2 Membership Deactivation

    If you deactivate your paid membership, your account will automatically move to our Community Level. You will remain part of Curated Therapy Collective's professional community, but will no longer receive curated referrals or paid-tier benefits.

    8.1 CTC Badges, Branding, and Use of Marks

    If tier eligible, CTC may provide members with digital badges. These are the intellectual property of CTC and may only be used in accordance with CTC's branding guidelines. Badges may be displayed only to indicate active membership. Members may not alter badges or imply employment or endorsement by CTC.

    Upon suspension or termination, members must remove all CTC badges and marks from websites, directories, and marketing materials. Unauthorized or misleading use may result in revocation of membership or legal action.

    9. Communication, Intellectual Property, and Confidential Information

    CTC fosters a supportive professional network through events, consultation groups, and educational opportunities. Participation is encouraged but optional. Members agree to uphold respect, professionalism, and inclusivity in all community interactions.

    All CTC materials, branding, and content are proprietary to CTC. Members may use such materials only to indicate membership and may not modify or distribute them without permission.

    "Confidential Information" includes any nonpublic information about CTC's members, clients, systems, or operations. Members agree not to disclose or use such information except for legitimate participation in CTC activities.

    10. Limitation of Liability and Indemnification

    CTC is not responsible for the outcomes of services provided by independent members and does not mediate or assume responsibility for disputes between members or with clients.

    The Clinician shall indemnify, defend, and hold harmless CTC, its owners, employees, and affiliates from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of:

    • (a) the Clinician's professional services or business operations;
    • (b) any breach of this Agreement; or
    • (c) violation of applicable law or ethical standards.

    CTC shall likewise indemnify the Clinician against third-party claims arising solely from CTC's gross negligence or willful misconduct.

    10.1 Limitation of Damages

    In no event shall CTC's total liability exceed the membership fees paid by the Clinician during the twelve (12) months preceding the event giving rise to the claim. CTC shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

    10.2 No Warranties

    CTC makes no warranties, express or implied, regarding the number or quality of referrals, business outcomes, or professional success resulting from membership.

    11. Governing Law, Dispute Resolution, and Amendments

    This Agreement shall be governed by the laws of the State of Florida.

    The parties agree to first attempt resolution through mediation in Palm Beach County, Florida. If mediation does not resolve the matter, the dispute shall be submitted to binding arbitration under the rules of the American Arbitration Association (AAA). Judgment on the award may be entered in any court of competent jurisdiction.

    CTC reserves the right to amend this Agreement or its policies with thirty (30) days' written notice. Continued participation constitutes acceptance of any such amendments.

    12. Miscellaneous

    If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

    This Agreement constitutes the entire understanding between the parties and supersedes all prior representations, discussions, or agreements relating to its subject matter.
